1. The Project. Unitz, LLC, a Colorado limited liability company (“Developer”), is developing a garage storage condominium project in Weld County, Colorado, known as garageUnitz at Dacono, CO (the “Development”).

2. Reservation. By execution of this Reservation Agreement (this “Reservation”) and the delivery of the Reservation Deposit, as defined below, _____________________ (“Interested Purchaser”) is registering an interest in purchasing Building ___, Unit ___ in the Development (the “Unit”). By executing this Reservation Agreement, Interested Purchaser has not purchased the Unit or agreed to purchase the Unit.

3. Reservation Deposit. A personal or cashier’s check in the amount of Two Thousand Five Hundred Dollars ($2,500.00) (the “Reservation Deposit”) made payable to _________________ (“Escrow Agent”) is being submitted by Interested Purchaser contemporaneous with the execution of this Reservation. The Purchase Price for the Unit is $____________. Contemporaneous herewith, Interested Purchaser, Developer, and Escrow Agent are entering into an Escrow Agreement. Interested Purchaser shall not accrue interest on the Reservation Deposit.

4. Contract. Subject to the terms of this Reservation Agreement, when, and if, Developer determines in its sole discretion to sell units in the Development, Interested Purchaser shall have the right to purchase the Unit pursuant to a purchase contract in the form to be drafted by Developer (the “Contract”). Interested Purchaser must execute and return the Contract within 10 business days of receipt of notice from Developer of its intention to sell units in the Development.

5. Termination. Prior to the execution of the Contract, either party may terminate this Reservation for any reason by delivering written notice to the other party at the address set forth below. Upon termination of this Reservation, Developer shall direct Escrow Agent to return the Reservation Deposit to Interested Purchaser. After the termination of this Reservation and the return of the Reservation Deposit, neither Interested Purchaser nor Developer will have any further rights or obligations under this Reservation.

6. Application of Reservation Deposit. In the event Interested Purchaser enters into the Contract, the Reservation Deposit will be applied against money owed by Interested Purchaser as the “Earnest Money Deposit” due under the Contract.

7. Unit Details. Interested Purchaser acknowledges that the details regarding the Unit and the Development are preliminary only, and, prior to the execution of the Contract, are subject to change by Developer, in its sole discretion.
